Terms and Conditions

1. About JVJ Consulting LLC

JVJ Consulting LLC provides professional consulting, facilitation, strategic planning, leadership development, organizational development, LEGO® Serious Play® facilitation, grant management support, workforce development services, training programs, coaching, workshops, and related professional services.

All services are subject to availability and acceptance by JVJ Consulting LLC.

2. Service Agreements

The scope, deliverables, timelines, fees, and expectations for professional services shall be defined through one or more of the following:

• Written proposal
• Service agreement
• Contract
• Statement of work
• Purchase order
• Invoice
• Workshop registration page
• Written correspondence

Any work requested beyond the agreed scope may be subject to additional fees.

Proposal Validity

Unless otherwise stated, proposals, quotations, and service estimates issued by JVJ Consulting LLC shall remain valid for thirty (30) calendar days from the date of issuance.

JVJ Consulting LLC reserves the right to modify pricing, availability, scope, or terms after the proposal expiration date.

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information.
• Respond to requests in a timely manner.
• Designate appropriate points of contact when applicable.
• Participate in meetings, interviews, workshops, or activities necessary for service delivery.
• Obtain any internal approvals required for implementation.

JVJ Consulting LLC shall not be responsible for delays caused by incomplete information, lack of participation, or delayed client responses.

Participant Conduct

Participants are expected to conduct themselves in a professional, respectful, and collaborative manner.

JVJ Consulting LLC reserves the right to remove any participant whose behavior is disruptive, threatening, discriminatory, abusive, or otherwise interferes with the learning experience of others.

Removal from an event shall not entitle the participant to a refund.

4. Fees and Payments

Fees for services shall be outlined in the applicable proposal, contract, invoice, registration page, or service agreement.

Unless otherwise agreed in writing:

• A deposit may be required to reserve services.
• Deposits and payments are subject to the Cancellation and Refund Policy described in Section 6 of these Terms and Conditions.
• Final payment is due according to the terms stated on the invoice or agreement.
• Services may be suspended for overdue accounts.
• Clients are responsible for all fees associated with collection of unpaid balances where permitted by law.

5. ATH Móvil Payment Instructions

Payments may be submitted through ATH Móvil using the following information:

When making payment, clients must include:

• Full registration name
• Invoice number
• Order number

After payment is submitted, clients must send proof of payment (screenshot) via WhatsApp to: (787) 470-9054.

Service reservations are not considered confirmed until payment verification has been completed.

6. Cancellation and Refund Policy

Professional time, planning, preparation, scheduling, facilitation, consulting, and administrative resources are reserved specifically for each client. As such, all payments are subject to the following cancellation and refund policy.

Payment Transferability

Payments are non-transferable to another individual, organization, workshop, service, or future engagement without the prior written consent of JVJ Consulting LLC.

Any approved transfer shall be at the sole discretion of JVJ Consulting LLC and may be subject to administrative fees, availability, or additional conditions.

Cancellation Requests

All cancellation, rescheduling, and refund requests must be submitted in writing to info@jovejimenez.com.

Verbal requests, phone calls, text messages, WhatsApp messages, social media messages, or other informal communications shall not constitute official notice unless acknowledged in writing by JVJ Consulting LLC.

The effective date of cancellation shall be the date written notice is received by JVJ Consulting LLC.

Refund Schedule

More than thirty (30) calendar days prior to the scheduled service, workshop, or event: the client may cancel and receive a refund of seventy-five percent (75%) of the amount paid. JVJ Consulting LLC shall retain twenty-five percent (25%) of the amount paid to cover administrative expenses, scheduling, planning, and reservation of professional resources.

Between fifteen (15) and thirty (30) calendar days prior to the scheduled service, workshop, or event: the client may cancel and receive a refund of fifty percent (50%) of the amount paid. JVJ Consulting LLC shall retain fifty percent (50%) of the amount paid.

Fourteen (14) calendar days or less prior to the scheduled service, workshop, or event: no refund shall be issued. JVJ Consulting LLC shall retain one hundred percent (100%) of all amounts paid.

No-Shows

Failure to attend a scheduled workshop, meeting, consultation, training session, coaching session, or event ("No Show") shall be treated as a same-day cancellation and shall not be eligible for any refund, credit, or rescheduling.

Rescheduling Requests

Requests to reschedule are subject to availability and must be approved in writing by JVJ Consulting LLC.

Approval of a rescheduling request does not waive any applicable cancellation fees or administrative costs.

JVJ Consulting LLC does not guarantee availability for alternative dates.

Refund Processing

Approved refunds will be processed using the original payment method whenever possible and may require up to thirty (30) business days to complete, depending on the payment processor, financial institution, or banking system involved.

7. Corporate, Government, and Customized Workshops

Customized and Corporate Services

Corporate workshops, LEGO® Serious Play® engagements, strategic planning retreats, organizational assessments, consulting projects, grant-related services, leadership development programs, facilitation services, and other customized engagements require significant professional preparation prior to delivery.

Such preparation may include, but is not limited to:

• Discovery and planning meetings
• Stakeholder interviews
• Organizational assessments
• Workshop customization and design
• Development of activities and materials
• Presentation development
• Logistics coordination
• Travel planning
• Reporting and documentation

Once preparation work has commenced, fees associated with planning, customization, preparation, logistics, and professional availability shall be considered earned.

JVJ Consulting LLC reserves the right to retain all or a portion of payments already received when substantial work has been performed prior to cancellation.

Clients acknowledge that reserving dates may require JVJ Consulting LLC to decline other business opportunities and commit professional resources exclusively to the engagement.

Furthermore, any expenses incurred by JVJ Consulting LLC prior to cancellation, including but not limited to travel expenses, lodging expenses, transportation costs, purchased materials, customized LEGO® kits, printing expenses, venue deposits, shipping costs, catering commitments, third-party vendor fees, and other project-specific expenses, are non-refundable and may be invoiced separately to the client if not previously paid.

Such expenses shall remain the responsibility of the client regardless of whether the engagement is subsequently canceled, postponed, or modified.

Unless otherwise agreed in writing, deposits for customized corporate, institutional, nonprofit, educational, and government engagements are non-refundable.

8. Intellectual Property

All content developed, delivered, or provided by JVJ Consulting LLC remains the exclusive intellectual property of JVJ Consulting LLC unless otherwise agreed in writing.

This includes:

• Training materials
• Presentations
• Frameworks
• Templates
• Assessments
• Guides
• Reports
• Methodologies
• Workshop designs
• Digital content
• Educational resources

Materials may be used internally by the client for their intended purpose only.

Participants may not record, livestream, reproduce, distribute, or publicly share workshop content, facilitation techniques, proprietary exercises, training materials, or educational content without the prior written consent of JVJ Consulting LLC.

9. LEGO® Serious Play® Disclaimer

JVJ Consulting LLC facilitates workshops utilizing the LEGO® Serious Play® methodology.

LEGO® Serious Play® is designed to support reflection, communication, innovation, strategic thinking, collaboration, and learning.

Participation in LEGO® Serious Play® activities does not guarantee specific organizational, financial, operational, strategic, or personal outcomes.

LEGO® is a trademark of the LEGO Group.

JVJ Consulting LLC is an independent company and is not affiliated with, sponsored by, endorsed by, or authorized by the LEGO Group.

10. Confidentiality

JVJ Consulting LLC agrees to maintain the confidentiality of proprietary, organizational, strategic, and non-public information disclosed during engagements.

Confidential information may only be disclosed:

• When required by law
• With written client authorization
• To protect legal rights, safety, or compliance obligations

Clients also agree to respect the confidentiality of workshop participants and proprietary methodologies.

11. Photography, Video, and Media

JVJ Consulting LLC may photograph, record, or document workshops, events, and training activities for educational, promotional, marketing, and business purposes.

Clients who wish to restrict photography or recording must notify JVJ Consulting LLC in writing before the event.

Separate media agreements may be required for sensitive organizational environments.

Testimonials and Client Feedback

Unless otherwise requested in writing, JVJ Consulting LLC may use client testimonials, feedback, evaluations, and general descriptions of completed projects for marketing, educational, and business development purposes.

Confidential information, proprietary information, and personally identifiable information shall not be disclosed without authorization.

Use of Technology and Artificial Intelligence

Technology, automation, and AI tools may be used to support service delivery while maintaining professional responsibility. JVJ Consulting LLC may provide services through virtual platforms including Zoom, Microsoft Teams, Google Meet, or other approved technologies.

The client is responsible for ensuring adequate internet connectivity, equipment, and access to the required platform.

JVJ Consulting LLC shall not be responsible for interruptions caused by the client's equipment, connectivity issues, software limitations, or technical failures beyond its reasonable control.

12. Independent Contractor Status

JVJ Consulting LLC operates solely as an independent contractor.

Nothing contained within these Terms and Conditions shall be interpreted as creating an employment relationship, agency relationship, joint venture, partnership, or fiduciary relationship.

13. No Guarantee of Results

Consulting, coaching, facilitation, training, grant support, and strategic planning services provide professional guidance and recommendations based upon available information and professional expertise.

JVJ Consulting LLC makes no guarantee regarding:

• Grant awards
• Funding approvals
• Organizational performance
• Revenue growth
• Strategic outcomes
• Business success
• Employment outcomes
• Specific measurable results

Implementation decisions remain solely the responsibility of the client.

14. Limitation of Liability

To the fullest extent permitted by law, JVJ Consulting LLC shall not be liable for:

• Indirect damages
• Consequential damages
• Lost profits
• Lost funding opportunities
• Lost business opportunities
• Data loss
• Business interruption
• Reputational harm

Total liability shall not exceed the amount actually paid by the client for the service giving rise to the claim.

15. Payment Disputes and Chargebacks

By submitting payment, the client acknowledges that the transaction is authorized and agrees to these Terms and Conditions.

In the event of a dispute, chargeback, or payment claim, JVJ Consulting LLC may provide supporting documentation including:

• Contracts
• Proposals
• Purchase orders
• Invoices
• Payment confirmations
• Workshop registrations
• Attendance records
• Communications
• Planning documents
• Evidence of services delivered

JVJ Consulting LLC reserves all rights to contest fraudulent or invalid payment disputes.

16. Force Majeure

JVJ Consulting LLC shall not be liable for delays or inability to perform services resulting from circumstances beyond reasonable control, including:

• Hurricanes
• Flooding
• Earthquakes
• Public health emergencies
• Power outages
• Internet failures
• Government actions
• Labor disputes
• Acts of God

17. Website Use

Users agree not to:

• Misuse the website.
• Attempt unauthorized access to systems.
• Copy website content without permission.
• Engage in unlawful activities through the website.

JVJ Consulting LLC reserves the right to restrict access to users who violate these terms.

18. Governing Law

These Terms and Conditions shall be governed by the laws of the Commonwealth of Puerto Rico and applicable federal laws of the United States.

Any dispute arising under these Terms shall be resolved in a court of competent jurisdiction located in Puerto Rico.

19. Modifications

JVJ Consulting LLC reserves the right to update or modify these Terms and Conditions at any time.

Updated versions shall become effective upon publication on the website.

These Terms together with applicable agreements constitute the entire agreement. By accessing this website, registering for a service, making a payment, accepting a proposal, signing an agreement, or participating in any activity provided by JVJ Consulting LLC, you acknowledge that you have read, understood, and agreed to these Terms and Conditions in their entirety.
